MAC PED SRL, trading as "Wooly", a private limited liability company incorporated under Belgian law, with its registered office at Rue de l'Église 100, 1150 Woluwe-Saint-Pierre, Belgium, registered under company and VAT number BE 0588.984.493 (hereinafter "Wooly" or "We"), is a company specialising in the manufacture of bakery and pastry products.

The Customer may be any natural or legal person entering into a contractual relationship of any nature with Wooly (hereinafter the "Customer" or "You"), or any person acquiring products exclusively for non-professional purposes (hereinafter the "Consumer") through https://www.woolypatisserie.com (hereinafter the "Online Shop").

Article 1 – Applicability

1.1 Unless expressly agreed otherwise in writing, these terms and conditions apply to all purchases and orders placed through the Online Shop.

1.2 Any confirmation of an order by the Customer or the Consumer constitutes full and unreserved acceptance of these Wooly terms and conditions.

1.3 Wooly reserves the right to amend these terms and conditions at any time. Amended terms apply to any contract concluded thereafter but do not in any way affect orders already confirmed by Wooly.

1.4 The application of Wooly's terms and conditions excludes the application of any (general or specific) terms of the Customer.

Article 2 – Orders

2.1 The Online Shop contains descriptions and illustrations of the products offered that are as accurate as possible, so that the Customer can place an informed order. Certain non-essential characteristics of a product may, on delivery, differ from the descriptions and illustrations shown in the Online Shop. Colours may also vary slightly depending on lighting and the settings of the screen used.

2.2 Wooly is not bound by product descriptions that are manifestly affected by an error or mistake, including but not limited to obvious errors in the quotation.

2.3 Products are available while stocks last. If the Customer orders a product that is out of stock through the Online Shop, Wooly will inform them as soon as possible by email or telephone, and the Customer shall be entitled to cancel the order against a refund.

2.4 Wooly may periodically change the products available on the website and does not undertake to continue supplying any particular product or type of product.

2.5 To place an order through the Online Shop, the Customer must be at least 18 years old. If Wooly establishes that the Customer is under 18, the order will be cancelled.

2.6 Orders can only be processed if the Customer identifies themselves clearly by providing their address and billing details. This information must at all times be up to date and truthful.

Article 3 – Formation of the contract

3.1 To conclude a contract with Wooly through the Online Shop, the following steps must be completed:

  • add the products you wish to purchase to your basket, then proceed to confirm the order;
  • if you are a new Customer, create an account and log in;
  • if you are an existing Customer, enter your login details;
  • once logged in, select your preferred delivery or collection method, then confirm your order and your acceptance of these terms;
  • you are then directed to our payment service provider, who processes your payment;
  • we send you an initial acknowledgement of receipt and then, once we have verified that we are able to fulfil your order, an order confirmation to the email address you provided. The contract is formed at that point.

3.2 Wooly and the Customer expressly agree that a binding contract may be concluded electronically. The absence of a signature does not affect the binding force of the offer and its acceptance. Data recorded by Wooly through the automatic recording systems of the Online Shop, as well as any email exchanged between Wooly and the Customer, shall be regarded as evidence of the nature, content and date of the transaction in the event of a dispute, to the extent permitted by law.

Article 4 – No right of withdrawal (perishable goods)

4.1 This Article 4 applies if and only if you contract with us as a Consumer — that is, as a natural person acting wholly or mainly outside your trade or profession.

4.2 The Online Shop offers fresh foodstuffs only: pastries, viennoiserie, cakes, savoury preparations and ready-to-eat dishes. These products are liable to deteriorate or expire rapidly.

4.3 In accordance with Article VI.53, 4° of the Belgian Code of Economic Law — which transposes Article 16(d) of Directive 2011/83/EU — the Consumer does not have the 14-day right of withdrawal for the supply of such goods. No product from the Online Shop may therefore be returned or refunded under the right of withdrawal. You are informed of this before confirming your order.

4.4 This exclusion concerns the right of withdrawal only. It in no way affects the legal guarantee of conformity referred to in Article 8, nor your right to obtain the replacement or refund of a product that is non-conforming, damaged or unfit for consumption, nor any other right granted to you by law.

4.5 Should Wooly offer non-perishable products (non-food items, gift boxes or storable accessories), the statutory 14-day right of withdrawal would apply to those, and the arrangements for exercising it would be set out on the relevant product page.

Article 5 – Prices

5.1 Prices shown in the Online Shop are inclusive of all taxes.

5.2 Prices do not include delivery costs, which are borne by the Customer. The calculation of delivery costs is shown before the order is confirmed.

5.3 Prices are expressed in euros.

5.4 Save for error, the price will be invoiced as shown at the time of the order. In the event of a manifest error, Wooly will inform the Customer by email as soon as possible after the order confirmation. The Customer may then choose to accept the corrected price or to cancel the order and be refunded. If the Customer does not respond within 7 (seven) days of the notification, the order will be cancelled by operation of law and refunded in full.

5.5 Wooly may adjust the prices shown in the Online Shop at any time. A price adjustment never applies to orders already placed.

Article 6 – Payment

6.1 Unless otherwise agreed in writing, orders placed through the Online Shop are payable immediately. Products are prepared upon receipt of payment.

6.2 Payment may be made by one of the following means, with no surcharge attached to the payment method chosen:

  • Bancontact
  • Visa
  • Mastercard
  • Maestro
  • Google Pay
  • Apple Pay

6.3 Payments are processed by Stripe Payments Europe, Limited (Dublin, Ireland), a licensed payment service provider. At no point does Wooly have access to your full card details. Stripe's terms apply to the processing of the payment; where payment is made by card, the card issuer's terms also apply.

Article 7 – Delivery and collection

7.1 Where the contract is concluded with a Consumer, Wooly delivers without undue delay and no later than 30 (thirty) days after the conclusion of the contract, unless another date has been agreed. For business Customers, delivery dates are indicative and a delay gives rise to neither compensation nor a right to terminate.

7.2 Products are delivered to the address given when ordering, or may be collected from one of our shops. Wooly delivers to addresses in Belgium only.

7.3 Delivery is deemed to have taken place when the products are first presented at the delivery address given, or when they are collected in store. If delivery cannot be made due to the Customer, any costs of further delivery attempts shall be borne by the Customer.

7.4 The risk of loss of or damage to the products passes to the Customer when the Customer, or a third party designated by them, takes physical possession of the products.

7.5 Given the perishable nature of the products, the Customer acknowledges that they must be kept refrigerated, or as otherwise indicated on the packaging.

7.6 Where several products are ordered, Wooly reserves the right to deliver each product separately, while endeavouring to deliver everything in a single consignment.

Article 8 – Legal guarantee, conformity and complaints

8.1 Wooly undertakes to deliver products that correspond to the description and specifications shown in the Online Shop.

8.2 Legal guarantee of conformity. The Consumer benefits from the legal guarantee of conformity provided for in Articles 1649bis et seq. of the Belgian Civil Code, transposing Directive (EU) 2019/771. Wooly is liable for any lack of conformity existing at the time of delivery and becoming apparent within two years of that delivery. For goods with a shorter shelf life — which is the case for our fresh foodstuffs — the guarantee applies for that shelf life. The Consumer is entitled, as the case may be, to have the goods brought into conformity, to a price reduction or to termination of the contract, under the conditions laid down by law. This legal guarantee is free of charge and applies irrespective of any commercial guarantee.

8.3 Inspection on delivery. Given the perishable nature of the products, the Customer must inspect them on receipt. Apparent defects and quantity errors must be reported to Wooly in writing within 24 (twenty-four) hours of delivery, so that a prompt replacement is possible. This period does not apply to latent defects and in no way affects the legal guarantee referred to in Article 8.2, nor any other rights the Consumer derives from the law.

8.4 If the products delivered are defective, Wooly will replace the products concerned free of charge or refund the Consumer, at the Consumer's choice where the law so provides.

8.5 Wooly is not liable for a defect connected to facts not attributable to it, in particular a defect caused by the Customer — for example the negligent refrigeration of products that must be kept chilled.

Article 9 – Food information and allergens

9.1 In accordance with Regulation (EU) No 1169/2011 on the provision of food information to consumers, the mandatory particulars relating to our products — and in particular the presence of allergenic substances — are made available free of charge before the sale is concluded, on each product page and on our dedicated page: Allergens.

9.2 Our products are prepared in workshops where, among other things, gluten, eggs, milk, nuts, soya and fish are handled. Despite our precautions, the presence of traces of these substances cannot be entirely excluded. Customers with an allergy or intolerance are invited to contact us before ordering.

9.3 The same information is available free of charge in store, on simple request.

Article 10 – Data protection

10.1 Wooly processes the personal data it receives from the Customer in accordance with Regulation (EU) 2016/679 of 27 April 2016 on the protection of natural persons with regard to the processing of personal data (GDPR) and applicable Belgian law.

10.2 Wooly processes the Customer's personal data in order to perform its contractual obligations, to comply with its legal and regulatory obligations, and to improve the quality of its products and services.

10.3 The purposes, legal bases, retention periods, recipients and the rights available to the data subject — access, rectification, erasure, restriction, portability, objection and the right to lodge a complaint with the Belgian Data Protection Authority — are set out in our privacy policy. Article 11 – Intellectual property rights

11.1 Wooly reserves all intellectual property rights in the website itself and in all of its elements, including but not limited to all texts, illustrations, layout, data, software, names, trade marks, labels and logos, whether registered or not.

11.2 Neither the website itself nor the information offered on the website may be stored, reproduced, modified, published, distributed, transmitted, sold, transferred to third parties or used in any form whatsoever without Wooly's prior written authorisation.

Article 12 – Force majeure

12.1 Neither party shall be liable for a delay in or failure to perform its obligations if that delay or failure is due to force majeure. The party concerned must inform the other within 5 (five) days of the event occurring. Force majeure means any cause beyond the control of the party concerned that prevents it, temporarily or permanently, from performing the contract. Without being exhaustive, this includes: supply interruptions, delays by third parties, machine breakdowns, strikes, lock-outs, fire, civil unrest, war, epidemic, flood, power failures and government decisions.

12.2 In the event of force majeure, performance of the obligations of the party concerned is suspended. Both parties shall endeavour to limit the consequences. If either party is unable to resume performance of its obligations within 30 (thirty) days of the notification, the other party may terminate the contract immediately, without compensation, and sums already paid shall be refunded.

Article 13 – Liability

13.1 Save in the event of wilful misconduct or gross negligence, Wooly may not be held liable for intangible, indirect or consequential damage, including loss of profit, loss of turnover, business interruption, loss of income or loss of clientele.

13.2 Wooly may not be held liable for damage caused by errors attributable to the Customer, by force majeure or by third parties.

13.3 Wooly's total liability for direct damage is limited to the amount, including VAT, paid by the Customer for the products covered by the order concerned.

13.4 The limitations in this Article do not apply to, and in no way affect: liability in the event of death or personal injury; liability for defective products, governed by Book VI, Title 3, Chapter 5 of the Belgian Code of Economic Law; the legal guarantee of conformity referred to in Article 8.2; nor, more generally, any right of the Consumer from which the law does not permit derogation.

Article 14 – Assignment

14.1 Wooly may assign, transfer or subcontract its rights and obligations under these terms and conditions, provided that doing so does not reduce the guarantees available to the Consumer.

14.2 The Customer may not assign, transfer or subcontract their rights and obligations under these terms and conditions without Wooly's prior written consent.

Article 15 – No waiver

15.1 No provision of a contract concluded under these terms and conditions may be departed from other than with the express written consent of the non-defaulting party.

15.2 The fact that a party does not rely on a provision of these terms and conditions, or on a failure by the other party to perform any of its obligations, may not be construed as a waiver of the right to rely on it subsequently.

Article 16 – Severability

16.1 If any provision of these terms and conditions is declared unlawful, void or unenforceable, in whole or in part, under any applicable law, that provision or the part concerned shall be deemed not to form part of these terms and conditions, without the legality, validity or enforceability of the remainder being affected. The parties shall then negotiate in good faith to replace it with a valid provision as close as possible to the original intention.

Article 17 – Dispute resolution

17.1 Should any difficulty arise, we invite you to contact us first at info@woolypatisserie.com: the vast majority of disputes are resolved this way.

17.2 A Consumer who does not obtain satisfaction may refer the matter free of charge to the Consumer Mediation Service, the Belgian federal public service for the out-of-court settlement of consumer disputes (consumerombudsman.be), or to any other competent qualified entity.

Article 18 – Governing law and jurisdiction

18.1 These terms and conditions are governed by and construed in accordance with Belgian law.

18.2 The Dutch-speaking courts of Brussels have jurisdiction to hear any dispute arising out of or relating to these terms and conditions.

18.3 This clause does not apply to the Consumer. In accordance with Regulation (EU) No 1215/2012, a Consumer may only be sued in the courts of the Member State in which they are domiciled, and may bring proceedings, at their choice, before those same courts or before those of Wooly's registered office. The Consumer further retains the benefit of the mandatory provisions of the law of their country of residence.
